Terms of Use & End User License Agreement

01 Acceptance of Terms

By creating an account or using the Landing Zone application or web portal ("Service"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service. Your electronic acceptance at account creation constitutes a legally binding agreement between you and Landing Zone LLC, a Kentucky limited liability company. Your acceptance is timestamped and recorded with your account credentials.

02 License Grant

The Service is licensed, not sold, to you. Subject to your compliance with these Terms, Landing Zone LLC grants you a limited, revocable, non-transferable, non-exclusive, non-sublicensable license to install and use the App on devices you own or control, and to access the web portal, solely for your personal or authorized organizational use. Landing Zone LLC reserves all rights not expressly granted. This license terminates immediately upon any breach of these Terms, and Landing Zone LLC may terminate your account or access at any time, for any reason, with or without notice, with no liability to you.

03 Description of Service

Landing Zone is a professional reference and operational planning tool for helicopter emergency medical services (HEMS) personnel. The Service provides access to: shared group landing zone records, hospital and helipad reference data, radio frequency guides, community NOTAMs, avionics export tools, and print-ready Pilot Information Guides. Certain features require a paid subscription.

04 Account Registration

To use the Service you must provide your name, email address, and a password. You represent that all information is accurate, you are at least 18 years of age, and your use will comply with all applicable laws. You are responsible for maintaining the confidentiality of your credentials.

06 Subscriptions & Payments

Individual state data subscriptions are available through the iOS App Store or directly via the web portal. Subscriptions automatically renew unless cancelled before the end of the current period. Organizational subscriptions are invoiced directly by Landing Zone LLC under a separate Software Subscription Agreement. All refund requests for App Store purchases must be directed to Apple.

07 Acceptable Use

You agree not to: share your credentials with unauthorized users; allow any third party to access the Service using your account; circumvent any access controls, subscription gates, or license restrictions; use the Service as the sole basis for flight-critical or patient care decisions; scrape, harvest, or systematically extract data from the Service or its databases; or reproduce, resell, sublicense, or distribute any Landing Zone content or data without express written authorization from Landing Zone LLC.

08 Prohibition on Reverse Engineering & Competitive Use

You may not reverse engineer, decompile, or derive the source code, database schema, workflow logic, or architecture of the Service. You may not copy Landing Zone's workflows, database structure, or methodology to build a competing product. You may not use the Service's data to train any competing application or AI model. Violations constitute trade secret misappropriation subject to injunctive relief and damages.

09 Data Ownership & Privacy

You retain ownership of operational landing zone records and radio frequency data you personally create within the Service. Landing Zone LLC retains exclusive ownership of: the platform and all code; the curated hospital and helipad database including all certification data, coordinates, and operational notes; the radio frequency database and programming structures; all data schemas, organizational methodologies, and workflow designs; and all content contributed through community features. User data is stored in Google Firebase with industry-standard encryption. This Service does not process, store, or transmit Protected Health Information (PHI) as defined under HIPAA. 10 Intellectual Property

The Service, web portal, their design, source code, database structure, data compilation methods, workflow architecture, and all proprietary content are the exclusive property of Landing Zone LLC and are protected by United States and international copyright, trademark, and trade secret laws. The curated hospital/helipad database represents substantial original work and constitutes a protectable compilation under 17 U.S.C. § 101. Unauthorized reproduction, extraction, or use of any portion of this database is a violation of federal copyright law.

11 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. LANDING ZONE LLC AND ITS DATA PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. LANDING ZONE LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF INACCURACIES. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY LANDING ZONE LLC OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT FULLY APPLY TO YOU.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDING ZONE LLC AND ITS DATA PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF LIFE OR PERSONAL INJURY; LOSS OF REVENUE OR PROFIT; LOSS OR CORRUPTION OF DATA; OR ANY FLIGHT, TRANSPORT, OR PATIENT CARE OUTCOME — ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR ITS DATA, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, EVEN IF LANDING ZONE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LANDING ZONE LLC'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU IN THE PRIOR 12 MONTHS OR (B) $100 USD. THIS LIMITATION SURVIVES TERMINATION OF THESE TERMS.

13 Community Contributions

Certain features allow you to submit community NOTAMs, error reports, helipad corrections, and other operational data ("Contributions"). You retain ownership of Contributions you create, but by submitting any Contribution you grant Landing Zone LLC a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, store, reproduce, display, and distribute that Contribution in connection with the Service, including in aggregated or anonymized form. You represent that you have the right to submit any Contribution and that it does not infringe any third-party rights. Landing Zone LLC may remove any Contribution at any time without notice.

14 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Landing Zone LLC an unrestricted, perpetual, irrevocable, royalty-free right to use that feedback for any purpose, including developing new features, without any obligation or compensation to you.

15 Indemnification

You agree to indemnify, defend, and hold harmless Landing Zone LLC and its officers, members, employees, agents, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or reliance on the Service; (b) your violation of these Terms; (c) any Contribution you submit; or (d) any flight, transport, or patient care decision made in connection with your use of the Service.

16 Third-Party Data

The Service incorporates data from third-party sources including the Federal Aviation Administration (FAA), state health departments, trauma system registries, The Joint Commission, and community contributors. Landing Zone LLC does not independently verify all third-party data and makes no representations as to its accuracy, completeness, or timeliness. Third-party data may be modified, delayed, or discontinued at any time without notice. Your reliance on any third-party data is at your sole risk.

17 Export Control

You agree not to export or re-export the App or any data contained therein to any country, entity, or person prohibited by U.S. export laws and regulations, including countries subject to U.S. embargo or persons on U.S. Government restricted party lists. You represent and warrant that you are not located in any such country and are not on any such list.

18 Government End Users

If you are using the Service on behalf of a U.S. Government agency or entity, the App and related documentation are "Commercial Items" as defined at 48 C.F.R. §2.101. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in applicable FAR and DFARS provisions.

19 Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky. Any disputes shall be resolved in the state or federal courts of the Commonwealth of Kentucky.

20 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.

21 General

These Terms constitute the entire agreement between you and Landing Zone LLC regarding the Service. If any provision is found invalid or unenforceable, the remaining provisions remain in full force. Landing Zone LLC's failure to enforce any right is not a waiver of that right. You may not assign these Terms without Landing Zone LLC's prior written consent. Sections covering Indemnification, Intellectual Property, Prohibition on Reverse Engineering, Limitation of Liability, and Governing Law survive termination of these Terms.
